NAME AND STATUS:
1.1 The organisation hereby constituted, will be called the ‘KRUIN COMMUNITY VOLUNTARY ASSOCIATION’, (hereinafter referred to as the KCVA). This constitution will be deemed the governing principle in executing a social agreement as envisaged by the South African Common Law definition of a ‘Voluntary Association’ as a legal entity, which dictates that:
‘A Voluntary Association is created when three or more people enter into an agreement to form an organisation so that you can work together to achieve a common non-profit objective. The agreement can be verbal or be put in writing.’
1.2 The KCVA shall exist in its own right, separately from its members as a Non-Profit Voluntary association and or Public Beneficiary Organisation, whether or not it is registered in terms of any law as such.
1.4 The KCVA will continue to exist even when its membership changes and there are different office bearers.
1.5 Therefore, the KCVA, as a legal entity, be able to own property and other possessions.
1.6 The KCVA will therefore also be able to enter into binding legal agreements with reservation of all rights in respect of civil remedies available thereto.
1.7 The KCVA exists as an independent association and does not form part of any Community Police Forum and or any Sub-Neighbourhood Watch structure as envisaged in Chapter 7 of the South African Police Services Act, Act 65 of 1995.
1.8 This position might change should the need so arise. Therefore, this Constitution will not prohibit any application for the KCVA to join any CPF and or apply to be recognised as an independent CPF. The KCVA Patroller Group is therefore be deemed as an independent Neighbourhood Watch in respect of its Security Structure. This structure will function within the provisions of its own Constitution with the explicit understanding that such a Constitution will be subject to and in accordance with the dictates of this Constitution and the KCVA’s Code of Ethics.
2 AIMS AND OBJECTIVES
2.1 To unite all members of the organisation into an active, caring community, free of any form or kind of politics irrespective of the diversity of its members with reference to race, religious faith or believes, sexual orientation, political affiliation and or any other features of diversity.
2.2 To encourage all members to, actively partake in initiatives to ensure and better the well-being and safety of all and to give meaningful and tangible content to all Fundamental Rights as contained in the Constitution of the Republic of South Africa to all of the KCVA members. Such initiatives shall include but not be limited to the Portfolios of Security, Social Welfare, Social Cohesion and Business Forum.
2.3 The Objectives and Aims of the KCVA will be structured and articulated within the KCVA Prospectus and Code of Ethics.
2.4 The KCVA will achieve its aims and objectives, through its Vision and Mission of which the latter will be an ever-developing process in order to adapt to the needs of the KCVA members.
3 POWERS
3.1 In order to achieve its aims the KCVA and or any Portfolio therein, may:
3.1.1 Raise money by way of sponsorships and donations.
3.1.2 Open bank account(s).
3.1.3 Take out insurance.
3.1.4 Employ staff.
3.1.5 Acquire and manage buildings.
3.1.6 Organise courses, events, exhibitions and gatherings.
3.1.7 Work with other groups, organisations including State Departments within Local, Provincial or National Government in any way that would promote the Fundamental Constitutional Rights of all its members and the Vision of the KCVA.
3.1.8 Exchange information with other groups and organisations subject to the Information Management Policies of the KCVA, which comply with all National, Provincial and Local Government Legislation in respect of information management.
3.1.9 Negotiate and manage dedicated services with dedicated service providers in accordance with the dictates of good, honest and legal business practice.
3.1.10 Initiate any other lawful action necessary to achieve the aims and objectives of the organisation.
3.1.11 Suspend or terminate the memberships of members, who act or conduct themselves in any way that undermine the aims and or objectives of the organisation and or bring the organisation into disrepute in accordance with the dictates of the KCVA’s Dispute Resolution and Disciplinary Code. This Code is aligned with the Constitution of the Republic of South Africa, Labour laws and the South African Common Law.
3.2 All powers of the KCVA are to be executed within the ambit of the law and in accordance with the KCVA’s Vision, Mission and Core Values, which applies to all members and office-bearers of the KCVA.
4 MEMBERSHIP
4.1 Membership of the KCVA is voluntary and therefore gives expression to the Fundamental Right of Freedom of Association.
4.2 It is open to any person and or organisation resident within the area where the KCVA holds a footprint and or can reasonably establish a meaningful footprint on condition that:
4.2.1 Such person or entity shares, supports, agree and abide with (and to) the objectives, therefore the Vision, Mission, Core Values and KCVA Policies and Protocols in order to give and ensure expression to all Fundamental Rights of the Constitution of the Republic of South Africa as embodied in the Vision and Mission of the KCVA.
4.3 Membership shall not be determined by gender, race, nationality, disability, sexual preference, religion or belief.
4.5 Membership shall be free of charge.
4.4 Every member of the KCVA shall be deemed to be a co-owner of the KCVA’s Vision but on the express condition that the KCVA’s Intellectual Property may not be commercialised without the approval and or consent of a two-third of the members of the KCVA at the time of tabling such Motion.
5 MANAGEMENT/CO-ORDINATION
5.1 A Co-Ordination Committee shall administer and represent the KCVA. The total, roles/functions, authority, accountability and pledges of the members serving within this committee, are set out in the KCVA Co-Ordination Structure, which is contained in the KCVA Prospectus.
5.2 The Co-Ordination Committee will be comprised of volunteers and all decisions incidental to the functions thereof as well as the lines of authority will occur on a majority vote on any motion tabled.
5.3 The frequency of meetings of the Co-Ordination Committee will occur in accordance with the dictates of a majority vote on the subject.
5.4 The Chairperson/Co-Coordinator shall Chair all meetings of the organisation unless he/she nominates another member of the management Committee to do so. He/she shall further have the authority to enter into lawful agreements on behalf of the KCVA and amend the governing structure of the Co-Coordinating Committee, which authority he/she may extend to any other member or members of the Committee by way of proxy and or power of attorney. This authority can be vetoed by a majority vote of the Co-Ordination Committee.
5.5 The quorum for Co-Ordination Committee shall be six (6) members.
5.6 Voting within the Co-Ordination Committee meetings shall be by show of hands unless a majority decision of the Co-Ordination Committee dictates otherwise. If there is a tied vote then the Chairperson/Co-Coordinator shall have a second vote.
5.7 The Co-Ordination Committee may, by a two-thirds majority vote and for a good and proper reason remove any Committee member and or the Chairman of the Committee, on condition that that such person has the right to be heard before a final decision is made.
5.8 The Co-Ordination Committee and or the Chairman may co-opt another member of the KCVA as a Committee member to fill a vacancy and or to ensure the advancement of the Vision and Mission of the KCVA and to ensure a sustainable management function by adopting a fair succession policy, which is skilled, based.
7 FINANCE
7.1 Any money obtained by the organisation shall be used only for the advancement of the organisation’s aims and objectives and will be subject to any form of audit required by any law.
7.2 Any bank accounts opened for the organisation shall be in the name of the KCVA.
8 ANNUAL GENERAL MEETING
8.1 The KCVA’s Communication network allows for access to and communication to all members at any given time.
8.2 For this reason, any KCVA General Meeting may be convened at the instance or the request of any member at any time.
9 ALTERATIONS TO THE CONSTITUTION
Any changes to this Constitution must be agreed to by at least two-thirds of the Co-ordination Committee on condition that the Constitution be availed to any member of the KCVA at any time.
10 LIABILITY
11.1 The KCVA shall not be responsible for civil or criminal acts/omissions perpetrated by any member. Individual members of the KCVA act in their own capacity and shall be liable in that capacity.
11.2 Accepting membership of the organisation include indemnifying the KCVA from any illegal actions of such member.
12 LOGO AND LETTERHEADS
The organisation will use an Eagle as logo as well as its own designed letterhead.
13 DISSOLUTION
The KCVA may be wound up at any time if agreed by two-thirds of its member’s votes for such dissolution. In the event of winding up, any assets remaining after all debts have been paid, shall be given to another organisation with similar aims.

The KCVA is an all-inclusive, multi-racial, Community Organisation that was created on 24 February 2016. It currently has a membership total of just over 5000, mainly located in the Roodepoort and Krugersdorp areas. Its legal existence is founded in the Common Law as a Voluntary Association.
